Oversee a team of two in managing comprehensive company secretarial matters for the listed company, its subsidiaries, and the major shareholder’s private companies.
Organize and manage logistics for board meetings, committee meetings, and shareholders' meetings, including all necessary documentation.
Develop annual reports, interim reports, ESG reports, and other corporate communications for the company.
Maintain statutory records and governance-related registers, supporting the Secretarial Team's operations.
Offer insights on Hong Kong Listing Rules and refine internal policies to enhance governance and compliance.
Handle KYC Requests
Work closely with legal advisors and service providers to ensure smooth operations.
Provide expert advice on corporate governance issues and developments.
Qualifications and Experience
Degree in Corporate Governance, Laws, or a related discipline with relevant professional qualifications.
Minimum of 15 years in a similar role within a medium to large listed company.
Experience in large-scale corporations or prominent Chinese companies (中資公司) is a distinct advantage.
Familiarity with Hong Kong Main Board Listing Rules and legal frameworks in Greater China and offshore jurisdictions.
Proficient in both written and spoken English and Chinese; Mandarin proficiency is essential.
Detail-oriented, independent, and hands-on, with a proven ability to lead and drive change.
Strong knowledge of corporate governance principles and experience in providing strategic advice.
