Your Impact & Key Responsibilities:

Drive Investment Execution: You will be integral to our deal-making process by drafting, reviewing, and negotiating key investment documents, including term sheets, shareholder agreements, and subscription agreements.
Conduct In-Depth Due Diligence: Go deep into potential investments, analyzing corporate structures, commercial contracts, intellectual property, and regulatory landscapes to identify and mitigate risks.
Shape Fund Architecture: Support the legal backbone of our firm by assisting with fund formation, Limited Partner agreements, and crucial regulatory filings.
Become a Subject-Matter Expert: Conduct vital legal research on emerging topics in corporate governance, securities law, cross-border transactions, and the regulations shaping new technologies like AI and data privacy.
Nurture Our Portfolio: Act as a key legal resource for our portfolio companies, advising on equity issuances, cap table management, and general corporate matters.
Enhance Firm Operations: Build and maintain our legal infrastructure, including templates, records, and databases, to ensure maximum efficiency. You will also manage relationships and collaborate with top-tier external counsel on complex transactions.
Navigate Global Compliance: Monitor and advise on the evolving regulatory environments in key jurisdictions (Hong Kong, Cayman Islands, US, Asia-Pacific), ensuring the firm remains compliant and ahead of the curve.
Champion Best Practices: Contribute to developing internal policies, conducting risk assessments, and integrating ESG considerations into our legal framework.

What You'll Bring to the Table:

Qualifications: A law degree (LLB or equivalent) and qualification as a solicitor in a common law jurisdiction (Hong Kong, England & Wales, Australia preferred).
Experience: 1-3 years of post-qualification experience in corporate law, ideally gained at a top-tier law firm or in-house. Exposure to M&A, capital markets, or private equity/venture capital is a strong advantage.
Legal Acumen: A solid foundation in corporate and commercial law. While direct VC experience is a plus, we are committed to providing comprehensive training.
Communication Skills: Exceptional drafting, analytical, and communication skills in English are essential. Proficiency in Mandarin or Cantonese is a significant asset.
Mindset: You are proactive, meticulously organized, and thrive in a high-energy environment where you can manage multiple priorities. You have a genuine passion for technology, AI, and innovation.
