Responsibilities
- Provide comprehensive legal advice and support to management on primary and secondary market transactions, including fund formation, capital raising, investment activities, and streaming and royalties transactions in the mining sector.
- Offer legal consultation and opinions for the company’s daily operations.
- Draft, review, and negotiate a wide range of legal documents, including investment agreements, NDAs, and partnership agreements.
- Develop and implement internal legal policies and procedures.
- Ensure compliance with Hong Kong and international regulatory requirements, including SFC regulations, AML, and data privacy laws.
- Manage relationships with external legal counsel and oversee legal costs to ensure efficiency.
- Conduct legal due diligence for prospective investments and transactions.
- Monitor and evaluate changes in laws and regulations impacting the asset management industry.
- Handle dispute resolution, litigation, and risk management issues as they arise.
- Perform other ad-hoc tasks as assigned by management.
Requirements
- Qualified lawyer with at least 8 years of legal or corporate law experience; completed relevant legal studies (LLB/PCLL or equivalent), preferably within the asset management, financial services, or investment banking industries.
- Strong knowledge of Hong Kong laws and regulations, particularly those related to the Securities and Futures Commission (SFC); a Chinese law qualification is an advantage.
- Proven expertise in drafting and negotiating complex legal agreements.
- Excellent understanding of corporate governance and compliance frameworks.
- Strong analytical, problem-solving, and decision-making skills.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
- Fluency in English and Mandarin is essential; proficiency in Cantonese is preferred.
